This Terms and Conditions Agreement (“Agreement”) binds the undersigned volunteer (“the Volunteer”) in relation to the Volunteer’s participation in the musical concert known as Symphony of Praise and Worship (SPAW) (“the Event”).
By signing this, the Volunteer agrees to the following:
1. Volunteer Status
1.1. The Volunteer acknowledges that their participation is on a voluntary basis and does not constitute an employment, partnership, or agency relationship with the Organiser.
1.2. The Volunteer shall not be entitled to salary, wages, employee benefits, or any other compensation except such allowances or reimbursements expressly agreed by the Organiser.
2. Confidentiality and Trade Secrets
2.1. During and after the Event, the Volunteer may have access to confidential information belonging to the Organiser, including but not limited to business strategies, event plans, sponsorship details, financial information, contact lists, intellectual property, and trade secrets (“Confidential Information”).
2.2. The Volunteer agrees to:
- Keep all Confidential Information strictly confidential.
- Not disclose Confidential Information to any third party without prior written consent of the Organiser.
- Not use Confidential Information for personal benefit or for any purpose other than assisting with the Event.
2.3. This obligation of confidentiality survives the termination of this Agreement.
3. Intellectual Property
3.1. All intellectual property belonging to the Organiser, including but not limited to trademarks, logos, event recordings, photographs, promotional content, designs, and business methods, remains the exclusive property of the Organiser.
3.2. The Volunteer shall not use, reproduce, modify, or distribute the Organiser’s intellectual property without express prior written consent.
3.3. Any work, content, or material created by the Volunteer in connection with the Event shall be deemed “work made for hire” and shall vest exclusively in the Organiser. The Volunteer hereby assigns to the Organiser all rights, title, and interest in such work without further compensation.
4. Conduct and Responsibilities
4.1. The Volunteer agrees to act professionally, respectfully, and in accordance with the Organiser’s instructions, policies, and codes of conduct.
4.2. The Volunteer shall not engage in conduct that may harm the reputation of the Organiser, the Event, its sponsors, or participants.
4.3. The Organiser reserves the right to remove or dismiss any Volunteer for misconduct, negligence, or breach of this Agreement.
5. Liability and Indemnity
5.1. The Volunteer acknowledges that participation in the Event may involve certain risks, and agrees to assume all such risks.
5.2. The Organiser shall not be liable for any personal injury, loss, or damage suffered by the Volunteer except where caused by gross negligence or wilful misconduct of the Organiser.
5.3. The Volunteer agrees to indemnify and hold harmless the Organiser from any claims, damages, liabilities, or expenses arising from their actions, misconduct, or breach of this Agreement.
6. Termination
The Organiser may terminate this Agreement and the Volunteer’s participation at any time without liability or notice.
7. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes shall be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria.
8. Entire Agreement
This Agreement contains the full understanding between the Organiser and the Volunteer with respect to its subject matter and supersedes all prior arrangements.
Signature
Volunteers sign this Agreement online, at the end of the volunteer registration form: by ticking the box to agree, and typing their full name as their signature. Their signature is kept with the date and time they signed.
